Value Source is a B2B lead generation and market data platform for the food service distribution industry. We provide:

• Lead capture and quote request forms for distributors and food service businesses
• Market data dashboards displaying commodity prices, freight rates, and industry trends
• Freight calculators and business tools for the food service industry
• City-specific market information for the Southeast United States

No Warranties on Market Data: Market data is provided for informational purposes only and is sourced from third-party APIs including USDA, EIA, FDA, and other public sources. We do not guarantee the accuracy, completeness, or timeliness of any market data. Users should verify all data independently before making business decisions.

User Obligations

By using the Service, you agree to:

• Provide Accurate Information: Submit truthful, accurate, and complete information in all forms and communications
• Business Use Only: Use the Service for legitimate business purposes only
• Comply with Laws: Comply with all applicable federal, state, and local laws and regulations
• No Scraping or Automation: Not use automated tools, bots, or scripts to scrape, extract, or harvest data from the Service without prior written permission

No Liability for Indirect Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUE SOURCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO:

• Your use or inability to use the Service
• Reliance on market data, pricing information, or freight calculations
• Business decisions made based on information provided through the Service
• Errors, inaccuracies, or omissions in any content or data
• Unauthorized access to or alteration of your data
• Service interruptions, downtime, or technical issues

Maximum Liability: In no event shall Value Source's total liability to you for all claims exceed the amount paid by you, if any, for accessing the Service in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Value Source, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any information or content you submit through the Service

Dispute Resolution

Informal Resolution: Before filing any formal claim, you agree to first contact us at info@valuesource.co to attempt to resolve the dispute informally.

Arbitration Agreement: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Atlanta, Georgia. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may seek injunctive relief or other equitable remedies in court to prevent actual or threatened infringement or misappropriation of intellectual property rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms (excluding arbitration) shall be brought exclusively in the federal or state courts located in Atlanta, Georgia, and you hereby consent to personal jurisdiction and venue therein.

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease, but all provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date at the top of this page. Severability
